These Terms of Service ("Terms") govern access to and use of the websites, software, and services operated by Naptic LLC ("Naptic," "we," "us," or "our"), including Naptic (our AI-character content engine for TikTok, referred to in these Terms as "the Service") and our integrations with third-party platforms such as TikTok (together, the "Services"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
Naptic is an AI-character content engine that generates and publishes AI-assisted short-form video content to social-media accounts owned or operated by Naptic. Access is provided to authorized Naptic personnel and contractors. The Service is offered on an as-available basis and may evolve over time.
You must be at least 18 years old and authorized by Naptic to use the Service. By using the Service you represent that you meet these requirements and that any account or token you connect to the Service is one you are authorized to operate on behalf of Naptic.
Subject to these Terms, Naptic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended internal purpose. All right, title, and interest in the Service — including all software, designs, trademarks, and content created by Naptic — remain with Naptic and its licensors.
When using the Service you agree not to:

You are responsible for ensuring that posts published through the Service comply with those terms, including TikTok's Community Guidelines, Terms of Service, and Developer Terms. Naptic is not affiliated with TikTok, and TikTok's terms govern your relationship with TikTok.
You are responsible for safeguarding the credentials, OAuth tokens, and devices used to access the Service. Notify us promptly at jordan@synapticstack.ai if you suspect unauthorized access. You may revoke a connected TikTok account's authorization at any time via TikTok's settings or by contacting us.
You retain ownership of content you provide to the Service. By providing content for publication, you grant Naptic a worldwide, royalty-free license to host, process, transmit, and publish that content as needed to operate the Service. You represent that you have all rights necessary to grant this license and that the content does not infringe any third-party rights.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NAPTIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT THIRD-PARTY PLATFORMS WILL ACCEPT, RETAIN, OR DISTRIBUTE PUBLISHED CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPTIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. NAPTIC'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Naptic from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your content, or your violation of these Terms.
We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising under these Terms will be the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
